Sellers, Wolpa, Viola Analyze New SEC Rules for Smaller Public Companies

Three leading McGuireWoods securities lawyers teamed up to author a Law360 article about new Securities and Exchange Commission rules that ease the reporting burden on smaller public companies.

The column, by Charlotte associate David Wolpa and partners Janie Sellers and Rick Viola, “New SEC Rules Encourage Companies to Go Public,” was published July 26 as a Law360 expert analysis.

By making companies with public float (or public float and revenue) at or below certain thresholds eligible for less stringent and detailed reporting requirements, the SEC tried to cut compliance costs for smaller companies but still retain protections for investors. The authors said the simplified reports also may foster greater readership among retail investors.
