Finance and Securities Offerings

For more than a decade, McGuireWoods has counseled clients in a range of life sciences-related industries, including medical device manufacturing and distribution (e.g., cardiac, neurological, orthopedic and surgical equipment) and pharmaceutical and biotech (e.g., research, drug discovery and development, and special pharmaceuticals enterprises). We have also represented numerous banks, investor groups and borrowers with interests in life sciences companies that are in every stage of development.

Working closely with our nationally recognized life sciences team, our finance attorneys have in-depth knowledge and stay abreast of unfolding market, political and regulatory developments. Our healthcare and intellectual property teams have been named by Chambers USA as among the leading legal providers, and our finance team is regularly ranked in the top 10 law firms.

Our services range from identifying and recommending financing sources to assisting with multibillion-dollar public equity or debt events. We provide advice and representation regarding registered offerings, private placements, venture capital and hedge funds, debt financing, tender offerings, takeover planning and going-private transactions. We have also worked with commercial lenders on behalf of clients to secure asset-backed loans and other commercial financing options. Since 2005, the total amount of debt involved in these financings exceeds $10 billion.

Our finance lawyers have extensive experience with a variety of debt instruments and have handled matters related to senior and subordinated debt, mezzanine financings, and second-lien and bridge financings. We help revive troubled businesses, protect investments, and retire less favorable debt through exchange offer, consent solicitation and restructuring of balance sheets. Our clients also benefit from our knowledge and experience in covenant negotiations, complex subordination and intercreditor issues, as well as with transactions involving multiple layers of financing.
